Corporate actions, resolutions and meetings in Sekriva

Most secretarial work is a change to something: a new director, a share transfer, a new registered address. Sekriva turns each of these into a guided corporate action, so the resolution, the approval, the register update and the filing deadline all follow from one place.

Corporate actions

Corporate actions cover:

  • director changes
  • share allotments and transfers
  • changes of address, name and FYE
  • BO changes
  • bank resolutions
  1. Start an action. Choose the type and the company, and fill in the details for that type.
  2. Keep “Also draft the supporting resolution” ticked to get a THAT-clause resolution you can edit and circulate.
  3. Submit it for approval. A user with approval rights approves it.
  4. Complete the action.
  5. From the action page, add the SSM filing or an event obligation so the deadline is tracked.

What updates automatically: completing an appointment, a resignation or a change of address updates the registers. Other action types are recorded with their resolution and history, and you make the record changes yourself, such as share transactions on the share capital page.

Nothing changes until the action is approved and completed. The previous value, such as the old registered address, is kept in the history.

Resolutions

Directors’ and members’ resolutions can be written or passed at a meeting.

  1. Draft the resolution and link it to a corporate action or a meeting.
  2. Circulate it to the directors or members.
  3. Record the outcome, passed or rejected, with the date. This needs approval rights.
  4. Download the PDF for signing.

Sekriva does not capture signatures. The PDF is a working copy for signing outside the system. If any wording was drafted by the AI assistant, it must be marked as reviewed before the resolution can be circulated.

Meetings and minutes

Board meetings, AGMs, EGMs and committee meetings follow the same disciplined flow:

  1. Schedule the meeting, add the agenda and tick the directors, secretary or members to invite.
  2. Download the notice PDF and send it, then click Mark notice sent.
  3. On the day, record attendance: present, by proxy or apology. The meeting can only be marked as held once quorum is met.
  4. Write the minutes. Insert outline from agenda gives you a starting structure. Save a draft, then approve the minutes to lock them. Approving needs approval rights.
  5. Link the resolutions passed at the meeting.

Cancelled meetings stay on record.
