Statutory registers and share capital, always in sync

Allotments, transfers, buy-backs and certificates update the registers in one step, with point-in-time views and snapshots.

Statutory registers and share capital, always in sync in Sekriva

Registers kept by hand drift out of date. A share transfer gets recorded in the transfer register but not in the register of members, or a director’s resignation never reaches the register of directors. Sekriva avoids this by generating every register from the same live records.

Share capital

For each company you can see its share classes, capital table, ownership chart and transaction history. Three transactions are built in:

  • Allot new shares
  • Transfer shares between holders
  • Buy-back shares

Each one updates the holdings, the register of members and the share certificate in a single step. Open any holding to issue, print (as a PDF) or cancel its share certificate.

Safeguards

  • Completed transactions are never edited. To fix a mistake, you post a correcting transaction, so the history stays honest.
  • A transfer or buy-back larger than the holder’s current shares is rejected.
  • You can record the stamp duty reference on each transfer for the audit trail (s. 105 Companies Act 2016).

Statutory registers

Sekriva generates these registers live:

Register Generated from
Members Share holdings and transactions
Directors Officer appointments and cessations
Secretaries Officer appointments and cessations
Beneficial owners Confirmed beneficial owner records
Share transfers Transfer transactions
Allotments Allotment transactions
Charges Entered directly (the only register entered by hand)

For the registers of members and directors you can choose an “as at” date to see the register as it stood on a past date. That is useful when an auditor asks who the members were at the financial year end.

Export any register as a PDF or an Excel file. Take a snapshot before major changes so you have a fixed record of the before state.

Generated registers are working copies kept from your records. They are not official SSM documents.

Satisfied charges stay in the register of charges, and ceased officers stay in the registers of directors and secretaries, so the full history is always there.
